PAWULTRA LEGAL
Terms & Conditions
Last updated:
These Terms & Conditions govern access to PawUltra trade accounts and purchases made through PawUltra.
PawUltra is a business-to-business wholesale service intended for businesses, sole traders and other approved trade customers.
1. About PawUltra
PawUltra is a UK-based B2B wholesale platform operated under the trading name PawUltra Organisation.
Business address:
128 City Road, London EC1V 2NX
General enquiries:
PawUltra provides trade-only access to pet products and related wholesale services for approved businesses and sole traders.
In these Terms, “PawUltra”, “we”, “us” and “our” refer to PawUltra Organisation.
“You” and “your” refer to the person or business using PawUltra or placing an order with us.
2. Trade customers only
PawUltra is intended for business and trade customers.
By applying for a trade account or placing an order, you confirm that you are acting wholly or mainly for purposes relating to your trade, business, craft or profession and that the information you provide to us is accurate.
PawUltra is not intended primarily for consumer purchases.
If you are acting as a consumer, please do not use a PawUltra trade account to place an order.
Nothing in these Terms limits any rights that cannot legally be excluded.
3. Trade account applications
Access to trade pricing and ordering may require an approved PawUltra trade account.
When you apply, we may ask for information including:
- your name
- contact details
- trading name
- company details where applicable
- business address
- business type
- sales channels
- website or store information
- other information reasonably required to verify that you operate a genuine business
For incorporated businesses, we may verify information using Companies House and other lawful public or commercial sources.
For sole traders and other businesses that cannot be verified through Companies House, we may request reasonable evidence of trading activity.
Submitting an application does not guarantee approval.
We may:
- approve an application automatically
- refer it for manual review
- request additional information
- decline an application
- suspend an account
where we reasonably consider this necessary for eligibility, fraud prevention, security or compliance purposes.
You must keep your account and business information reasonably up to date.
4. Account security
You are responsible for keeping your login credentials secure and for activity carried out through your account by people you have authorised.
Please tell us promptly if you believe your account has been accessed without permission.
You must not:
- provide false business details
- impersonate another business or person
- attempt to access another customer's account
- use PawUltra for fraudulent or unlawful activity
5. Product catalogue
We aim to provide clear and accurate product information.
Product images, packaging, descriptions, dimensions, ingredients, feeding information and other manufacturer information may change from time to time.
Where information is important to your purchasing or resale decision, you should check the current physical product label or contact us before relying on information that may have changed.
Product availability is not guaranteed until an order has been accepted.
We may add, remove or update products and product information at any time.
6. Trade prices and VAT
Unless expressly stated otherwise, PawUltra trade prices are shown excluding VAT.
Any applicable VAT will be calculated and displayed before you complete your order.
Trade prices may change from time to time.
A price shown on the website does not oblige us to supply a product at that price where there has been an obvious pricing, technical or data error.
If we identify a material pricing error before accepting an order, we may cancel the affected item or order and refund any amount already paid for it.
7. Minimum order
PawUltra currently operates a minimum order value of £30, unless a different minimum is displayed to you.
The basket and checkout will show whether your order meets the applicable minimum.
Delivery charges and VAT are treated separately unless the checkout expressly states otherwise.
We may change the minimum order requirement in the future, but any change will not retrospectively alter an order already accepted by us.
8. Placing an order
Adding goods to your basket does not reserve them.
When you submit an order, you are making an offer to purchase those goods subject to these Terms.
An automatic order acknowledgement confirms that we have received your order. It does not necessarily mean that the order has been accepted.
A contract for the goods is formed when we accept the order, normally when we confirm acceptance or dispatch of the relevant goods.
We may refuse or cancel an order before acceptance where, for example:
- goods are unavailable
- payment cannot be authorised
- there is a material price or catalogue error
- the delivery address cannot reasonably be served
- account or fraud checks require us to do so
- accepting the order would breach law or these Terms
Where payment has already been taken for an order we do not accept, we will refund the relevant amount.
9. Payment
Payment must be made using one of the payment methods offered at checkout.
Unless we separately agree credit terms in writing, payment is required before goods are dispatched.
Payment authorisation does not by itself constitute acceptance of your order.
You are responsible for ensuring that you are authorised to use the payment method provided.
Any future credit facility or payment terms will be subject to separate approval and, where applicable, separate terms.
10. Delivery
Available delivery services, charges and any applicable postcode or destination restrictions will be shown during checkout or otherwise communicated before your order is accepted.
Delivery charges may vary according to:
- destination
- weight
- service
- other relevant delivery factors
Any delivery date or timeframe we provide is an estimate unless we expressly agree otherwise in writing.
We may use third-party fulfilment, warehouse and courier partners to prepare and deliver orders on our behalf.
You are responsible for providing a complete and accurate delivery address and any information reasonably required to complete delivery.
Additional costs caused by an incorrect address, refused delivery or failed delivery for reasons within your control may be charged to you where reasonable.
11. Inspection and delivery issues
Please inspect deliveries as soon as reasonably practicable.
If goods arrive:
- damaged
- incomplete
- incorrect
- or with another apparent problem
please contact us promptly and provide reasonable details and, where useful, photographs.
Prompt notification helps us investigate problems with fulfilment and couriers.
Nothing in this section removes rights or remedies that apply under law.
Do not dispose of damaged goods or packaging where we have reasonably asked you to retain them for investigation.
12. Returns
Because PawUltra is a business-to-business wholesale service, there is no general consumer change-of-mind cancellation right for trade purchases.
Returns of non-faulty goods are accepted only where we agree to the return in advance.
If we agree to a discretionary return, we may impose reasonable return conditions and costs which will be explained before the return is accepted.
This does not affect your rights where goods are:
- faulty
- damaged
- incorrectly supplied
- do not correspond with their description
- or where another legal right or remedy applies
Certain goods may be unsuitable for discretionary return once opened, used, damaged, contaminated or no longer in resaleable condition.
13. Product recalls and safety
If we become aware of a product recall, safety notice or other material product issue affecting goods supplied through PawUltra, we may contact affected customers using their account or order details.
Trade customers agree to cooperate reasonably with genuine recall or safety instructions, including identifying affected stock where necessary.
14. Resale responsibilities
You are responsible for ensuring that your own resale activities comply with laws and regulations applicable to your business.
This includes, where applicable:
- customer-facing pricing
- product listings and advertising
- storage and handling
- marketplace requirements
- tax obligations
- consumer obligations
- use of product and brand intellectual property
Information supplied by PawUltra does not constitute legal, tax or regulatory advice for your own retail business.
15. Intellectual property
The PawUltra name, website, software, design, layout and PawUltra-created content are owned by us or used under licence.
Product names, logos, trademarks, packaging and manufacturer materials may belong to their respective owners.
Your purchase of products does not transfer ownership of any intellectual property rights.
You may use product information and assets only to the extent you are lawfully entitled to do so for legitimate business and resale purposes.
You must not scrape, copy, reproduce or commercially exploit substantial parts of PawUltra's website, catalogue or systems except where we have expressly permitted it or the law allows it.
16. Availability of the website
We aim to keep PawUltra available and secure, but we do not guarantee uninterrupted or error-free access.
We may temporarily restrict access for:
- maintenance
- security
- upgrades
- circumstances outside our reasonable control
17. Suspension or closure of accounts
We may suspend or close a trade account where we reasonably believe that:
- the account no longer meets our trade eligibility requirements
- information supplied to us is materially false or misleading
- there has been fraudulent, abusive or unlawful activity
- payment obligations have not been met
- account security has been compromised
- suspension is reasonably necessary to protect PawUltra, our partners or other customers
Where appropriate, we will explain the general reason for the action unless doing so would compromise fraud prevention, security, legal obligations or another person's rights.
You may ask us to close your account at any time, subject to outstanding orders, payments and records we are legally required to retain.
18. Liability
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence
- fraud or fraudulent misrepresentation
- any other liability that cannot legally be excluded or limited
Subject to that, and to the extent permitted by law, PawUltra will not be responsible for indirect or consequential business losses that were not reasonably foreseeable when the contract was formed.
You remain responsible for your own business decisions, resale activities and compliance obligations.
These Terms do not exclude any term, right or remedy which the law does not permit us to exclude.
19. Events outside our reasonable control
We will not be responsible for delay or failure caused by circumstances outside our reasonable control, such as:
- major courier disruption
- severe weather
- network or infrastructure failure
- industrial action
- supplier disruption
- governmental action
- other comparable events
We will take reasonable steps to minimise the effect of such events where practicable.
20. Privacy
Our use of personal information is explained in our Privacy Policy.
Where we use third parties to support payments, hosting, verification, fulfilment, delivery or other operations, personal information may be shared with them where necessary and lawful.
21. Changes to these Terms
We may update these Terms from time to time.
The version in force when an order is accepted will normally apply to that order.
Where a change materially affects an existing account relationship, we will take reasonable steps to bring the change to your attention.
22. Severability
If a court or competent authority finds any provision of these Terms invalid or unenforceable, the remaining provisions will continue to apply.
23. No waiver
If we do not immediately enforce a right under these Terms, that does not mean we have waived that right.
24. Governing law
These Terms and any non-contractual dispute arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, subject to any mandatory rule that requires otherwise.
